AmplySales OÜ
Terms of Service
Amplysales is a B2B sales CRM platform for finding and qualifying companies, managing prospects, accounts, contacts, deals, tasks, and keeping CRM records connected to customer email activity.
Last updated: September 3, 2026
These Terms of Service ("Terms") govern your use of the Amplysales platform ("the Service"), operated by AmplySales OÜ, a private limited company registered in Estonia under registry code 17261650, with registered office at Lahepea tn 7-110, 10617 Tallinn, Estonia ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Amplysales is a B2B sales CRM platform providing prospect generation, AI-assisted data enrichment, email outreach, deal management, automation, and task planning tools. The Service is intended for business-to-business use only and is not designed for consumer or non-commercial use.
2. Accounts and Access
- You must provide accurate information when creating an account.
- You are responsible for keeping your login credentials secure.
- Organization owners and administrators manage user access within their workspace.
- We may suspend or terminate accounts that violate these Terms.
- You must be at least 16 years old to use the Service.
3. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk email (spam) or any communication that violates anti-spam laws, including the EU ePrivacy Directive, GDPR, and analogous laws in other jurisdictions.
- Process personal data without a lawful basis under applicable data-protection law.
- Harass, defame, or impersonate any person or organization.
- Attempt to gain unauthorized access to other users' workspaces, data, or accounts.
- Interfere with the Service's operation, probe its security, or circumvent rate limits or access controls.
- Use the Service to develop a competing product or to scrape, mirror, or systematically copy our content or AI outputs.
- Use the Service for any illegal purpose or in violation of applicable export-control or sanctions laws.
We may suspend or terminate accounts that breach this section, with or without notice depending on severity.
4. Customer Data and Third-Party Personal Data
When you enter data into the Service about prospects, contacts, customers, or any other natural person, you are the data controller for that data and we are a data processor acting on your instructions. You are responsible for:
- Ensuring you have a lawful basis under the GDPR or equivalent regulation to collect and process that data.
- Providing required notices to those individuals.
- Honoring data-subject rights requests within statutory deadlines.
- Configuring retention and deletion in line with your obligations.
A Data Processing Agreement (DPA) compliant with GDPR Article 28 is available on request from info@amplysales.com.
5. AI-Generated Content
The Service uses artificial intelligence to generate email drafts, company analyses, prospect enrichment, sentiment classifications, and other content. AI output is provided as suggestions only. You are responsible for reviewing it before sending or acting on it. We do not guarantee accuracy, completeness, or fitness for purpose of AI-generated content.
6. Connected Email Accounts
When you connect a Google Workspace, Gmail, Microsoft 365, or Outlook account to the Service, you grant Amplysales access to specific data through OAuth permissions you approve at connection time. You may alternatively connect any other standard mailbox over IMAP/SMTP (the "Other" option) by entering your mail-server settings and credentials, which are stored encrypted and used only to sync your inbox and send messages on your behalf. You can disconnect at any time from Settings > Email; for OAuth accounts this revokes our refresh token, and for IMAP/SMTP accounts this deletes the stored credentials — either way we stop further reads or sends from that account. See our Privacy Policy for the categories of data accessed and how we use them, including the Google Limited Use disclosure.
7. Customer-Selected Third-Party AI and MCP Connections
The Service may allow you to connect an external artificial-intelligence service selected and separately contracted by you through Model Context Protocol ("MCP") or a similar integration. When an organization owner enables such a connection, you instruct Amplysales to transmit Customer Data requested through the enabled tools to that provider, subject to the connected user's Amplysales permissions. You acknowledge that the transmitted Customer Data may include personal, commercial, or confidential information and will leave the Amplysales-controlled environment.
You are responsible for:
- Deciding whether the external provider is appropriate for your organization and authorizing the connection at organization-owner level.
- Reviewing the provider's terms, privacy and security practices, hosting locations, retention and deletion rules, and AI-model training policies.
- Ensuring that you have a lawful basis, required notices, internal authorization, and any necessary data-processing or international-transfer arrangements for disclosing Customer Data to that provider.
- Managing and revoking connected users' access, reviewing requested actions, and using the provider's controls to delete data it has already received.
A customer-selected provider is not a Amplysales sub-processor for that connection merely because you connect it to the Service. Your separate agreement with that provider governs its processing after it receives Customer Data. AmplySales OÜ does not control that provider's availability, security, retention, processing, or outputs. Amplysales remains responsible for securing the MCP service within the Service and enforcing configured Amplysales permissions. Nothing in this section excludes responsibility or liability that cannot be excluded under mandatory law or that results from our breach of these Terms.
Disconnecting or revoking an external AI connection stops future access through the Service but does not itself delete information already received by the external provider.
8. Intellectual Property
The Amplysales platform, including its design, code, documentation, and non-customer-data outputs, is owned by AmplySales OÜ. You retain all rights to the data and content you upload or create within the Service; we claim no ownership of it.
9. Service Availability
We strive to keep the Service available continuously but do not commit to a specific uptime percentage during our current early-adoption phase. We may perform maintenance, updates, or changes that temporarily affect availability and will make reasonable efforts to notify users of planned downtime.
10. Billing, Subscription, Renewal, Refunds and Cancellation
Amplysales is sold as a business-to-business service, for use by businesses and their personnel in a professional capacity. Paid plans are billed in advance for the subscription period selected at purchase (for example, an annual licence term); seat quantity, fees, billing frequency, and any prepaid AI-usage amount are shown at the point of purchase. New organizations receive a free grant of three Standard seats for one month from creation; continued use of paid Standard seats after that month requires a paid subscription.
Seller of record. Automated self-serve purchases are sold through Stripe acting as Merchant of Record (shown to you as "Sold through Link"). As Merchant of Record, Stripe charges your payment method, calculates and remits applicable taxes, issues receipts and credit notes, and provides the payment-level refund and dispute channel under Stripe's terms. Direct, company, or custom arrangements are handled by AmplySales OÜ separately via a quote request to info@amplysales.com.
Automatic renewal and cancellation. Paid subscriptions renew automatically for successive periods of the same length until cancelled. You may cancel at any time from the in-app Billing area or by contacting info@amplysales.com; cancellation stops the next renewal and your access continues until the end of the current paid period.
Refunds. Subject to mandatory law and within the Merchant-of-Record framework:
- AI usage already consumed is non-refundable.
- Refunds of the unused portion of a paid licence are discretionary, initiated by an administrator through the in-app Billing tools where granted, and are not an automatic entitlement.
- Reducing seats does not generate a refund; a reduction takes effect as a downgrade at the end of the current billing period.
- Where mandatory consumer-protection law applies to you (for example, an EU statutory right of withdrawal), that law prevails over this section.
If a renewal payment fails, we may suspend or downgrade access after reasonable notice until payment is resolved.
11. Warranties and Disclaimer
Each party represents that it has the authority to enter into these Terms. You represent that your use of the Service complies with applicable law and these Terms, and that you hold the necessary rights to the Customer Data you submit (see Section 4).
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AmplySales OÜ does not warrant that the Service will be uninterrupted or error-free, or that AI-generated output will be accurate, complete, or fit for any purpose (see Section 5). Nothing in this section excludes warranties or liability that cannot be excluded under mandatory law.
12. Limitation of Liability
To the maximum extent permitted by law, AmplySales OÜ is not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, lost revenue, lost business opportunity, or loss of data, arising from your use of the Service. Our total aggregate liability for any claim is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim, or EUR 100, whichever is greater.
13. Indemnification
By you. You will defend AmplySales OÜ against, and indemnify it for, third-party claims arising from (a) your Customer Data, (b) your use of the Service in breach of these Terms or applicable law, or (c) your infringement or misappropriation of a third party's rights.
By us. AmplySales OÜ will defend you against, and indemnify you for, third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that party's intellectual-property rights; excluding claims arising from Customer Data, your modifications, or use of the Service in combination with products not provided by us.
Process. Indemnification is conditioned on the indemnified party giving prompt notice, allowing the indemnifying party to control the defence, and providing reasonable cooperation. Neither party may settle a claim in a way that imposes a non-financial obligation on the other without that party's consent.
14. Confidentiality
Each party may receive the other's confidential information in connection with the Service. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and contractors bound by confidentiality obligations no less protective than these. Confidential information excludes information that is or becomes public without breach, was independently developed, or was rightfully received from a third party. Disclosure required by law is permitted, with prior notice where lawful. Personal data is governed by the Privacy Policy and any Data Processing Agreement.
15. Termination
You may stop using the Service and request account deletion at any time by contacting info@amplysales.com; for paid plans, cancellation and access to the end of the current paid period are governed by Section 10. We may suspend or terminate access for material breach of these Terms with reasonable notice, except in cases of severe abuse, security risk, or illegality where we may act immediately.
16. General Terms
- Assignment: neither party may assign these Terms without the other's prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets, on notice.
- Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices: legal notices to us are sent to the contact address below; notices to you are sent to the email or in-app address associated with your account.
- Entire agreement: these Terms, together with the Privacy Policy and any subscription order or quote, are the entire agreement between the parties and supersede prior understandings on their subject. An individually negotiated subscription agreement, where one exists, controls over conflicting terms here.
- Severability and waiver: if any provision is unenforceable, the remainder stays in effect; a failure to enforce a provision is not a waiver of it.
- Independent contractors: the parties are independent contractors, and these Terms create no third-party beneficiary rights.
17. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after the effective date constitutes acceptance.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules. Any dispute arising out of or in connection with these Terms shall be resolved in the courts of Harju County, Estonia, unless mandatory law in your jurisdiction provides otherwise.
19. Contact
For questions about these Terms, contact AmplySales OÜ at info@amplysales.com, or by post at Lahepea tn 7-110, 10617 Tallinn, Estonia (registry code 17261650).
